Job purpose:
The job holder will be responsible for reviewing all legal files, ensure all necessary documentation is prepared for external Lawyers and total compliance with the Bank’s internal policies as well as external regulatory requirements.


Key deliverables for this role are:
• Update filing of the bank’s important documents i.e. agreements, title deeds and other corporate documents ensuring that they are up to date and properly safeguarded.
• Contract Management: to put in place an efficient filing process for contracts and check whether all bank’s contracts are verified by the legal department so as to ensure that there is compliance with the bank’s contractual obligations; to maintain the contractual records and other documentations including correspondences, different reports...
• Litigation portfolio Management: to put in place efficient filing process for court cases file and check whether all important documents are filed.
• Gather documents (court files) before hand for external lawyers so as to enable them to understand the case. The court file has to strictly be filled and all documents pertaining to a case correctly filed (by date).
• Review legal briefs provided by the external lawyers and give necessary insights
• Ensure that the Legal Department keeps an updated timetable for all court hearings and make all necessary follow-ups. This includes a daily monitoring of cases submitted to external lawyers until the verdict without unnecessary delay
• To liaise with the bailiff whenever necessary in order to expedite the delivery of summons and/or any document
• Maintenance of the register of letters/ complaints incoming and outgoing in the department and ensure a timely response is provided.
• Be part of the appraising committee when evaluating the performance of the external lawyers.
• Handle all succession cases, garnishment notice, bailiff notice (to definitely have a strong operation background); the requests are to be handled in a timely and diligent manner and to issue the appropriate response to the concerned person.
• conduct awareness session to the Legal Department as well as other departments on all new gazetted Laws/regulations and prepare an analysis of the regulations that may impact the Bank. This includes helping the Bank to implement a culture of compliance.
• Organize the monthly departmental meetings, take minutes and follow-up on matters arising that were discussed in the meeting and have it filed and signed properly.
• Track and exercise a close follow up on cases transmitted to external bodies to avoid unnecessary delay.
• Work closely with Operation staff to ensure compliance with Internal policies as well as external regulatory requirements are followed, so as to minimize litigation costs to the company.
• Make certain that there is prompt statutory filing of accurate documents for the company.
• Handling general legal advice as required.
• Any other duties assignment by the line manager.


Knowledge, Skills and Experience Required:
• A Bachelor’s degree in Law from a recognized university.
• A Post graduate Diploma in Legal Practice from ILPD is an added advantage.
• At least 3 years' work experience in a Financial Institution environment

Head of Legal

Project Manager
The Head of Legal and Contract is solely responsible for all legal and contract affairs related to the structure of the organisation, its commercial licenses, and commercial law compliance.

The qualified person will oversee for the complete contract management system and provide guidance on all contract matters. The head of legal is responsible for all members of the legal team across all entities of Aldelia and will oversee the preparation and maintenance of legal documents working closely with the Management team to monitor and protect the quality of legal documents being delivered while keeping in mind the objectives of the business.
She/he will take the lead on the harmonization of contract management and procedures across the group and acts as the main contact within the organisation’s legal team and is expected to build strong and amicable relationships with vendors, Partners and external legal counsel.

Responsibilities
• Conduct diligent research into legal issues and recommend revisions as needed across a range of legal documents and agreements.
• Ensure the reliable and timely execution of the company’s day-to-day legal activities.
• Anticipate and plan for all legal risks and develop strategies to mitigate those risks.
• Advise the leadership team on legal matters critical to the growth of the business.
• Responsible for all the Legal team across all the entities.
• Supervises the team to prepare, vet, negotiate and review various company contracts, including clients, vendors and business partnerships.
• Ensuring legal compliance with contracts by monitoring changes in laws or regulations that may affect the company’s ability to meet its obligations
• Ensures all Revision of contract proposals and identifying issues that could potentially result in litigation
• Interpreting contracts in accordance with the law, including reviewing contract clauses to determine whether they are reasonable or fair to both parties
• Negotiating contracts on behalf of the company, including developing proposals that meet the client’s needs while also maximizing profit potential for the company
• Reviewing and updating existing contracts to ensure that they are still relevant and meet current standards
• Supervising internal audits to ensure compliance with government regulations regarding contracts
• Reviewing contract terms to identify potential risks such as conflicts of interest or violations of ethics laws
• Monitoring the performance of contractors to ensure that they are fulfilling their obligations under the terms of their contracts
• Work closely with the BD team in identifying and resolving all contractual issues, while putting into key consideration the commercial angles for strategic projects.
• Ensure company’s integrity is protected by making sure it stays on a lawful and ethical course.
• Revise procedures, reports periodically to identify hidden risks or non-conformity issues
• Collaborate with the HR departments to monitor enforcement of standards and regulations.
• Keep abreast of regulatory developments in all Aldelia locations as well as evolving best practices in the legal and compliance space.
• Manage corporate affairs function and carry out general legal research with regards to the company’s day to day transactions.

Contract management process: Responsible for setting up a robust contract management process, create implementation and follow up strategies.
• Work closely with the business and Ops units and set an automated process to indicate renewal, expiration of contract for action.
• Design a systematic filing process to collect and retain the information about the signed contracts.

Internal Procedures:
• Spearhead the process to improve all internal procedures by drafting new procedures, redrafting existing procedures where applicable.
• Liaising with head of functions to collect briefs, steps and policies information. Turn this information into standard procedures using existing procedural format.

Internal Compliance Process:
• Monitor the internal compliance of contract management across the group.
• Ensure all contracts are signed, valid and store correctly in line with the laydown procedure across the group.
· Serve as the gate keeper for procedural compliance. Ensure internal policies and procedures are followed in all business activities by all functions in all entities.

Interaction with external legal counsel:
• Interface with external lawyers on all litigations and court case matters.
• Serve as the middle point between external lawyers and Aldelia management during disputes and litigations.

Review of Bid/Tender documentation: Lead the Review T&C and highlight the key information

Team Management:
• Ensuring all members of the legal team work efficiently
• Supervisory Function to all team members in the Legal Team Qualifications
• A minimum of 12+ years’ experience in Legal, Compliance or contract management is required.
• Bachelor/Master degree qualified ideally in Law is mandatory.
• Membership of a relevant Professional body is an advantage.
• Advance legal and contract management skills is essential.
• Bilingual (Advanced Bilingual Writing and Speaking Skills is a MUST)
